How to Register a Foreign LLC in Georgia: Requirements, Fees and Steps for 2026

By Mahnoor Jehanzab Updated July 29, 2026 9 min read

If you already own an LLC in another state and you want to do business in Georgia, you do not need to form a new company.

You simply register the company you already have as a foreign LLC in Georgia.

In this article, we’ll explain what a foreign LLC is, the requirements, the filing fees, and the steps to complete the process.

What Is a Foreign LLC in Georgia

According to the Georgia Secretary of State, in Georgia a foreign entity is a corporation, limited liability company, or limited partnership that was originally formed in another state. So if your LLC started in Florida, Texas, or any state outside Georgia, and you want to operate here, Georgia treats it as a foreign LLC.

If you register your LLC with the state, you get the following benefits:

  1. Limited personal liability as the owner, which helps keep your personal assets separate from the business.
  2. The possibility of certain tax benefits for your company.
  3. The legal authority to operate and do business in Georgia under the company you already own.
  4. A Certificate of Authority that officially recognizes your company in the state.

If you are not sure an LLC is the right fit for your situation, Georgia Company Formation can help you decide. That applies whether you are forming a new company or completing a foreign LLC registration in Georgia.

One quick note. People often search for how to transfer an LLC to Georgia, but that phrase is misleading. You are not moving your company. Your home state LLC stays exactly where it is. You are simply getting permission, known as foreign qualification in Georgia, to legally do business here as well.

Choose a Registered Agent

State law requires your company to have a registered agent before it can be registered.Your registered agent is the person or business you name to receive official mail, legal documents, and service of process on behalf of your company.

Here is what you need to know about the requirement:

  1. The agent must be located in Georgia. An address in another state will not work.
  2. The agent must be available during normal business hours to accept documents.
  3. You can act as your own agent only if you have a physical Georgia address.

If you do not have a Georgia address, a registered agent service fills that role for you. Getting the registered agent for your Georgia LLC right is the foundation of the entire filing.

At Georgia Company Formation, we can serve as your registered agent or help you appoint one so this step is handled correctly from the start.

Gather All the Information You Need to Register

Before you begin your Georgia foreign LLC registration, you must gather everything the state requires so nothing slows the filing down.

Here is the information you need:

  1. The name of your LLC, or a valid name reservation number
  2. Name and address of the person filing
  3. A valid email address
  4. The mailing address of your principal office
  5. Name and address of your registered agent
  6. Name and address of your manager
  7. A form of payment, which can be a credit card, check, cashier’s check, or money order depending on the filing method

Once this is in place, you can file your registration form.

File Your Registration

There are two ways to complete a foreign entity registration in Georgia. You can file online or by mail. Both are valid, and one is simply faster than the other. Either method can also be expedited for an additional fee if you are working against a deadline.

At Georgia Company Formation, we manage this filing for you either way, but it helps to understand how each option works.

Filing Online

Online filing is the fastest and most efficient method, which is why we recommend it for most clients. With this route, the Application for Certificate of Authority is generated electronically once the filing is approved. There is no paper form to download or upload.

When we handle a Georgia Secretary of State foreign LLC registration online, the process looks like this:

  1. Visit the Secretary of State online services page.
  2. Create a user account.
  3. Select the option to create or register a business.
  4. Select the option to register a foreign business that was formed outside Georgia, then choose your entity type from the list.
  5. Enter the required information about your business.
  6. Pay the $235 fee, which is a $225 filing fee plus a $10 service charge, using an approved credit card such as Visa, MasterCard, American Express, or Discover.

Keep in mind that all fees are nonrefundable, and expedite options cost extra.

Here are the processing times online:

  1. Standard processing is about 7 business days, depending on office workload.
  2. Processing in 2 business days costs an additional $120.
  3. Same business day processing costs an additional $275 when submitted before noon on a business day.

Filing by Mail

If you prefer a paper filing, that option is available. It simply takes longer.

The process involves completing the Application for Certificate of Authority, form CD 241, and mailing it with the $235 fee, which is the $225 filing fee plus the $10 service charge, by check or money order to:

Office of Secretary of State, Corporations Division, 2 Martin Luther King Jr. Dr. SE, Suite 313 West Tower, Atlanta, Georgia 30334.

Here are the processing times by mail:

  1. Standard processing is about 15 business days from the date the Corporations Division receives your application.
  2. Processing in 2 business days costs an additional $120.
  3. Same business day processing costs an additional $275 when submitted before noon.
  4. One hour processing costs an additional $1,200.

As with online filing, every fee is nonrefundable.

The base cost is the same $235 whether you file online or by mail through a GA foreign LLC registration. The additional fees only apply when you want the filing processed faster.

What To Do After Your Filing Is Approved

Once the state reviews and approves the filing, it issues a Certificate of Authority for your entity. This is your official approval. It confirms that your foreign LLC, or your foreign corporation doing business in Georgia, is registered to operate in the state.

There is one ongoing requirement you cannot ignore after this point:

Filing Your Annual Registration

Every year after your initial Certificate of Authority, you must file an annual registration between January 1 and April 1.

Here is what happens if you miss it:

  1. Your Certificate of Authority can be revoked by the state.
  2. You lose your legal authority to do business in Georgia.
  3. To fix it, you must requalify by submitting a brand new application and a new fee.
  4. That means extra cost and extra delay that could have been avoided.

Because of these penalties, we recommend treating the January 1 to April 1 window as a hard deadline. Georgia Company Formation can track this date for you and file it on time every year so your company stays in good standing.

Registering with the Georgia Secretary of State is not the only step required to do business in the state. Depending on your industry, you will need:

  1. Local business licenses
  2. Permits specific to your work
  3. State tax registration

Our team can prepare all the additional documents you need to support your application and help you complete the remaining registration requirements.

Common Mistakes Business Owners Make When Registering a Foreign LLC

We see the same avoidable mistakes again and again with foreign LLC registration in Georgia. Knowing them ahead of time saves you money and delays.

  1. Thinking foreign means international: It does not. It only means your LLC was formed in another U.S. state. If you formed outside Georgia and want to work here, you need to register.
  2. Skipping the registered agent or naming one outside Georgia: Your agent has to be located in Georgia. Naming yourself without a real Georgia address is a common reason filings get rejected.
  3. Assuming registration is the finish line: The Certificate of Authority registers you with the state, but you still need business licenses, permits, and tax setup before you are fully cleared to operate.
  4. Forgetting the annual registration: This is the most costly mistake. Miss the January 1 to April 1 window and your certificate can be revoked, which forces you to requalify and pay again.
  5. Getting the business name wrong: If your name is not available in Georgia, or you do not have a valid name reservation number ready, the filing stalls. Our team at Georgia Company Formation can check the state records, verify your preferred business name, and reserve it for you.
  6. Expecting a refund: All fees are nonrefundable. If you file with incorrect information and it is rejected, that money is gone. Accuracy matters before you submit.
  7. Underestimating processing time: If you have a lease signing, a client contract, or another deadline approaching, do not rely on the standard 7 or 15 business days. Expedited processing exists for a reason.

Quick FAQs

How much does it cost to register a foreign LLC in Georgia?

The base cost is $235, which is a $225 filing fee plus a $10 service charge. This is the same whether you file online or by mail. Expedited processing costs more, and all fees are nonrefundable.

How long does foreign LLC registration in Georgia take?

Online filings are generally completed in about 7 business days, and paper filings in about 15 business days. If you are on a deadline, you can pay to have the filing processed in 2 business days, the same business day, or in one hour by mail.

Do I need a registered agent to register a foreign LLC in Georgia?

Yes. Every foreign LLC must have a registered agent located in Georgia to receive official mail and legal documents. You can act as your own agent if you have a physical Georgia address, or you can use a registered agent service like Georgia Company Formation.

What happens if I do not file my annual registration?

Your Certificate of Authority can be revoked, and you lose your legal authority to do business in Georgia. To operate again, you must requalify by submitting a new application and a new fee. This is why the January 1 to April 1 deadline matters every year.

Can I register a foreign LLC in Georgia remotely?

Yes. The entire registration can be completed online without you being in Georgia or traveling here. The one local requirement is a registered agent with a Georgia address, which a service can provide on your behalf. Georgia Company Formation handles the full filing remotely for owners based in other states, so you can register from anywhere.

Is registering a foreign LLC the same as transferring my LLC to Georgia?

No. You are not moving your company, and your home state LLC stays in place. Registering as a foreign LLC, also called foreign qualification, simply gives your existing company permission to legally do business in Georgia as well.
